The American Library in Paris, Inc. was incorporated on May 28, 1920 under Delaware law. In accordance with the articles of incorporation of the Library, the Board of Trustees has responsibility for oversight and the setting of policy for the Library. The Library operates in accordance with the procedures set out in the Library’s by-laws, as amended and approved by the Board of Trustees from time to time, as well as through policies that are drafted and approved by the Board. The operation of the Library and the management of employees and volunteers remain the responsibility of the Director, who works closely with the Board.

The Board meets several times per year, and much of its work is carried out by Board committees (for example, those dealing with Finance, Library Affairs and Development), which meet separately. As the Library’s operations are principally conducted in Paris, they are subject to French law, and the Board takes into consideration both French and US law requirements when carrying out is oversight and governance roles. The Board relies on the advice of French and American legal and tax counsel to ensure that it fully respects all applicable legal obligations.
